Business Lawyer
I have been a
business attorney since 1994. I work with domestic and
international businesses on all aspects of corporate and
business law. My work includes all types of business
transactions, for example, contracts, venture capital (VC) financings,
loans, shareholder / member / partner disputes, protecting customer
lists from employees and competitors, IP licensing, contractor
agreements, software development agreements, joint ventures,
strategic partnerships, commercial real property leases and more.
I am also a
corporate lawyer, meaning that I form LLCs (limited
liability companies), incorporate C corporations, S
corporations, close corporations, professional corporations,
limited partnerships, Delaware Series LLCs and other
entities. I also draft operating agreements,
shareholder (buy-sell) agreements and the like. I take care of my corporations and LLCs from
incorporation / formation to dissolution. Please see
my page,
Corporate (LLC) Lawyer
for more information on these subjects. See also my
article,
Legal Compliance Checklist for a Startup Business.
For most business
transactions, I charge flat fees. I have done most
deals many times and I usually know the
extent of the work required and the cost. Since I can
predict the likely cost of most transactions, I charge
flat fees. I try to give flat fees so you can budget your legal expenses for
the deal just as you budget all other expenses.
Typical business
transactions include:

Handling
relationships and disputes between corporate shareholders
/ LLC members / partners, including shareholder (buy-sell) agreements,
LLC operating agreements, partnership agreements, and the structuring of joint ventures
(syndicates) and strategic partnerships. If you’re interested,

efficient way without going to court. See my

-
Drafting
and negotiating venture capital (VC) rounds of financing,
including bridge and angel rounds, from
either the VC side or the company side. I have been doing
VC deals for many years and I understand what terms belong
in a deal and what terms do not belong (that is, what are
current “market” terms). This is a big help to
clients.
