I have been a
business / corporate attorney since 1994. My work includes the forming
of LLCs (limited liability companies), C corporations, S
corporations, close corporations, professional corporations,
limited partnerships, Delaware Series LLCs and other
entities. I also draft LLC operating agreements,
shareholder (buy-sell) agreements and the like. I take care of my corporations and LLCs from
incorporation / formation to dissolution.
As a business
attorney, I also handle all of your LLC / corporation's
contracts, venture capital (VC) financings, loans, leases, shareholder
/ member / partner disputes, protecting customer lists from
employees and competitors, IP licensing, contractor

I charge flat fees
for most incorporations. I charge an extra flat fee if you
want a buy-sell or shareholders agreement (for corporations) or
a negotiated operating agreement (for LLCs). I recommend
that every corporation or LLC with more than one shareholder
or member prepare one of these agreements. Whether or not
you have me prepare one will depend on our analysis of the
costs of the agreement vs. its benefits. I can help you
